ESPG BondCo S.à r.l. is a special purpose entity that was founded as part of the successful restructuring of ESPG AG, Cologne, in 2024 with the aim of taking over the corporate bond at the time issued by ESPG AG with an outstanding nominal volume of EUR 46,626,000.00 (ISIN DE000A2NBY22) in full. In return for assuming the bond liabilities, ESPG BondCo S.à r.l. acquired a 15% stake in the share capital of ESPG AG.
ESPG BondCo S.à r.l. must use the proceeds from its investment in ESPG AG – less certain costs and a reasonable operating profit in accordance with the terms and conditions of the bond – to service the bond liabilities from the bond assumed. In addition to dividend or liquidation payments, such proceeds also include proceeds from the complete or partial sale of this investment in ESPG AG. The bond liabilities are subordinated to possible other creditors of ESPG BondCo S.à r.l. in order to avoid a possible over-indebtedness of ESPG BondCo S.à r.l.
